Vintae completes the acquisition of Bodegas Riojanas and becomes the majority shareholder of the century-old winery<\/strong><\/h1>[\/et_pb_text][et_pb_text _builder_version=\"4.24.2\" _module_preset=\"default\" global_colors_info=\"{}\"]The registration of the Restructuring Plan with the Commercial Registry, following its court approval, formalises the entry of Gevisa Wine Capital, Vintae's holding company, as the majority shareholder of Bodegas Riojanas, which will retain its status as a publicly listed company. The transaction also adds new wineries and assets in Rioja, Toro, Rueda and Rías Baixas.<\/strong><\/p>[\/et_pb_text][et_pb_text _builder_version=\"4.24.2\" _module_preset=\"default\" global_colors_info=\"{}\"]Cenicero, 22 July 2026.<\/strong> With the registration of the Restructuring Plan of Bodegas Riojanas in the Commercial Registry, following its prior approval by Commercial Court No. 6 of Logroño, the process initiated last May has now been completed, making effective the entry of Gevisa Wine Capital, Vintae's holding company, as the majority shareholder of the company.
The Restructuring Plan includes a capital reduction followed by a simultaneous capital increase through the capitalisation of debt, a mechanism through which Gevisa Wine Capital acquires a 90% stake in Bodegas Riojanas. The company will retain its status as a publicly listed company, with its shares continuing to trade on the Spanish continuous market.
The transaction represents a €12 million investment by Gevisa Wine Capital, following the agreement reached with the financial institutions that adhered to the Restructuring Plan. In addition, Vintae will provide Bodegas Riojanas with a financing facility of up to €5 million to support this new phase.
The registration of the Restructuring Plan in the Commercial Registry also entails the renewal of the Board of Directors of Bodegas Riojanas. Ricardo Arambarri Pérez has been appointed Chairman of the Board, Fernando Martínez Sampedro has been appointed Chief Executive Officer, and Isabel García Castellanos and Raúl Acha Salazar join the Board as proprietary directors. The Board will be completed in September with the appointment of two independent directors, in accordance with the regulations applicable to publicly listed companies.
With the registration completed, the transaction is now fully implemented and enters its final administrative phase, consisting of the admission to trading of the newly issued shares before the Spanish National Securities Market Commission (CNMV). This procedure does not affect either the effectiveness of the transaction or the ordinary operations of Bodegas Riojanas.

Founded in 1890, Bodegas Riojanas is one of Rioja's historic wineries and the owner of iconic brands such as Monte Real and Viña Albina. For the winery, this transaction marks the beginning of a new chapter, supported by a strengthened financial structure and the backing of a group with a strong commercial presence in Spain and in more than 70 countries worldwide. During this phase, the company's medium- and long-term development plan will be defined.<\/p>
Over the coming months, Vintae will review the positioning of the group's different companies and brands while progressively advancing the integration of processes, systems and management models.<\/p>
